Terms of Service

Welcome to InvoiceAPI. These Terms of Service ("Terms") govern your use of invoiceapi.dev, our API, SDKs, CLI tool, and related services (the "Services"). The Services are operated by Abhinav Ankur, a sole proprietor based in Darbhanga, Bihar, India ("we", "us", "our").
By creating an account or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. About the Services
InvoiceAPI is a developer API for generating branded invoice PDFs from structured JSON, accessed via REST endpoints, SDKs (Node.js, Python), and a CLI tool. The Services are intended for both personal use (e.g., freelancers) and internal business use (e.g., SaaS and e-commerce companies integrating invoicing).
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity under your account. Notify us immediately at support@invoiceapi.dev if you suspect unauthorized access. We are not liable for losses caused by compromised credentials that were not timely reported.
4. Subscription plans and billing
- Free: up to 500 invoices/month, 20 requests/minute
- Starter: $19/month or ₹1,799/month — up to 2,000 invoices/month
- Pro: $49/month or ₹4,499/month — up to 10,000 invoices/month
- Scale: $99/month or ₹8,999/month — up to 50,000 invoices/month
Paid plans are billed monthly in advance and automatically renew at the end of each billing cycle until you cancel. Renewal charges are made to the payment method on file via Razorpay (for Indian customers, in INR) or Paddle (for international customers, in USD). Paddle is the Merchant of Record for international sales.
Accepted payment methods include Visa, Mastercard, American Express, Discover, PayPal, UPI, net banking, and debit cards, subject to availability in your region and the payment provider's support.
Prices may change with at least 30 days' notice for existing subscribers. New prices apply at your next renewal.
5. Free plan and sandbox mode
The Free plan has no expiry. Sandbox requests (using "sandbox": true) generate watermarked PDFs and do not count toward your monthly quota. Sandbox is provided for testing and development only.
6. Refunds and cancellation
Refunds are handled per our Refund Policy. You may cancel your subscription at any time by emailing support@invoiceapi.dev. Your plan remains active through the end of the current billing period, and you retain access until then.
7. Acceptable use
You agree not to:
- Submit fraudulent, illegal, misleading, or deceptive invoice data — including false business information, inflated amounts, or invoices that violate tax or consumer protection laws
- Resell, white-label, or rebrand the Services as your own product to end users
- Circumvent rate limits, plan quotas, or create multiple accounts to exceed usage limits
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the API, SDKs, or CLI
- Use the Services to send spam, harass others, or distribute malicious content through generated invoices
- Scrape, crawl, or harvest data from the Services using automated means beyond the provided API and SDKs
- Use the Services in violation of applicable tax, financial, consumer protection, or data protection laws
- Use the Services to advertise or offer to sell unrelated goods and services, or to transfer your account or profile to another person
We may suspend or terminate accounts that violate this section, without refund, and may cooperate with law enforcement where appropriate.
8. Your data and content
You retain all ownership rights to the invoice data and any content you submit through the Services. You grant us a limited, non-exclusive license to store, process, and display that data solely to provide the Services to you (for example, rendering PDFs, showing invoices in your dashboard, and delivering webhooks).
You are solely responsible for the accuracy, completeness, and legality of all data you submit, including seller and buyer details, tax IDs, amounts, and tax rates. We generate PDFs based on the data you provide and do not verify or validate it. Invoices generated through the Services do not constitute tax, legal, or accounting advice. You are responsible for ensuring generated invoices comply with applicable laws in your jurisdiction and the jurisdictions of your customers.
9. Downloadable software (SDKs and CLI)
We provide Node.js and Python SDKs and a command-line tool to simplify integration. These are distributed under open-source licenses (see the package repositories for details). You may use, modify, and distribute them in accordance with those licenses, but you may not use them to access the Services in violation of these Terms.
10. Intellectual property
The Services, including our code, website, invoice templates, design, branding, and documentation, are owned by us and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.
11. Third-party services
The Services integrate with and link to third-party services (including Razorpay, Paddle, GitHub, npm, PyPI). We are not responsible for the content, policies, or practices of those services. Your use of them is governed by their own terms and privacy policies.
12. Service availability
The Services are provided "as is" and "as available". We do not guarantee uninterrupted access, specific response times, or freedom from errors. We may modify, suspend, or discontinue any part of the Services at any time, with reasonable notice for paid plans where practicable. Scheduled maintenance and unplanned downtime may occur.
13. Disclaimers
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be error-free, secure, or uninterrupted, or that the results obtained from using them will be accurate or reliable.
14. Limitation of liability
To the maximum extent permitted by law, our total cumulative liability to you arising out of or related to the Services will not exceed the lesser of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
Any claim arising out of or related to these Terms or the Services must be filed within one (1) year after the claim accrues, or it is permanently barred.
15. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) invoice data you submit that causes harm or legal liability.
16. Termination
You may terminate your account at any time by emailing support@invoiceapi.dev. We may suspend or terminate your account if you breach these Terms, if required by law, or to protect the Services and other users. Upon termination, your access ends and your data will be deleted per our Privacy Policy, subject to legal retention requirements.
17. Dispute resolution
Before filing any formal dispute, the parties agree to attempt to resolve issues through good-faith informal negotiations for at least 30 days after notice of the dispute is sent to support@invoiceapi.dev.
If the dispute is not resolved, it will be settled by binding arbitration in India, conducted under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Bihar, India. The language of arbitration will be English. Each party will bear its own costs unless the arbitrator decides otherwise.
18. Governing law
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
19. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated at least 30 days in advanceby email or an in-app notice. Changes required for security, bug fixes, new functionality, legal/regulatory compliance, court orders, or changes to our payment processors' terms may take effect immediately. Continued use after an update constitutes acceptance.
20. Miscellaneous
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Our failure to enforce any right or provision is not a waiver of that right.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Entire agreement: These Terms and our Privacy Policy and Refund Policy constitute the entire agreement between you and us regarding the Services.
